Wonder by Deloitte identifies, builds and launches new profit-with-purpose businesses that have massive potential to transform our collective future, while also future-proofing our firm with new learnings, relationships and innovations (“Wonder”).
As part of its commitment to workplace innovation, Deloitte Inc. (“Deloitte”) has launched a website for use by Deloitte personnel for the purposes of: (i) submitting ideas for assessment of commercial application and marketability by the Wonder team, (ii) getting involved in existing opportunities being commercialized by the Wonder team, and (iii) browsing through opportunities being worked on at Wonder (the “Wonder Site”).
These terms and conditions (the “Terms”) govern your use of the Wonder Site, and Deloitte asks that you read them carefully. By accessing or otherwise using the Wonder Site, you accept and agree to be bound, without qualification, by the Terms. Deloitte’s failure to insist upon or enforce strict performance of any provision of the Terms will not be construed as a waiver of any provision or rights it may have under the Terms.
Right to Use
You may only access and use the Wonder Site and any web pages, software, information in all forms, logos, and other data, elements, or information contained in the Wonder Site (the “Content”) for (i) submitting and managing ideas, content, and other materials submitted by you to the Wonder Site; and/or (ii) joining an existing opportunity where you add or further develop ideas, content and other materials (the “Submitted Materials”), where such Submitted Materials are for the internal business purposes of Deloitte.
By submitting an idea or joining an opportunity on the Wonder Site: (i) you hereby assign to Deloitte all rights, title, and interests, including all intellectual property rights, in and to the Submitted Materials that are created, modified, or enhanced when you submit, and work on, an opportunity at Wonder; (ii) you warrant that the Submitted Materials, and any and all inventions, discoveries, concepts, ideas, designs, improvements, trade secrets, and other proprietary rights, whether or not patentable or registrable under patent, copyright, trademark or similar laws included in the Submitted Materials do not infringe any third party proprietary rights;(iii) you hereby waive all moral rights that you have in and to all Submitted Materials; and (iv) you agree to cooperate fully, both during and after the termination or resignation of your employment, with respect to signing further documents and doing such acts and other things reasonably requested by Deloitte to confirm the transfer of ownership of all rights, title, and interests in and to the Submitted Materials, the waiver of moral rights in the Submitted Materials, or to obtain or enforce patent, copyright, trade secret, or other protection for Submitted Materials.
Except as expressly permitted by Deloitte, you may not use the Wonder Site, the Content, or Submitted Materials for any commercial purposes whatsoever. You must not allow another person to access or use the Wonder Site with your account, and you must notify Deloitte as soon as reasonably practicable after learning of any unauthorized use of your account, breach of security, or loss or theft of any account information (including your username and password).
Idea Selection
You acknowledge that not all Submitted Materials will be selected by Wonder for further exploration of commercialization. Upon Deloitte’s selection of any of your Submitted Materials for further exploration of commercialization, Deloitte will notify you and you will receive 10,000 GreenStar recognition points, which are redeemable for various items on the GreenStars Recognition page available on MyDeloitte. Prohibited Use of the Wonder Site
You may not use the Wonder Site to engage in any unlawful activity or to infringe the rights of Deloitte, its partners, affiliates, licensors, or related entities. You further agree that you will not: (i) interfere with the operation or disrupt the integrity of the Wonder Site or Content in any way; (ii) transmit any unlawful, harassing, libelous, defamatory, abusive, threatening, or harmful material of any kind or nature or transmit any material that encourages conduct that could constitute a criminal offence, give rise to civil liability, or otherwise violate any applicable law or regulation; (iii) impersonate any person or entity on or through the Wonder Site; (iv) post any content that may be considered threatening, abusive, obscene, or otherwise objectionable; (v) copy, reproduce, republish, upload, post, transmit, distribute, modify, sell, lease, scrape content from or aggregate, sublicense, market, or otherwise change or commercially exploit in any way the Wonder Site or any of the Content other than as may be expressly permitted in writing by Deloitte (and only provided you do not modify it or alter or remove any marks, disclaimers or copyright or trademark notices); (vi) create internet “links” to or from the Wonder Site, or “frame” or “mirror” any Content, other than on Deloitte’s own intranet or otherwise for internal business purposes; or (vii) disassemble, reverse engineer, or decompile the Wonder Site. You agree to abide by all additional rules, policies, and restrictions of which you are provided with notice that apply to the Wonder Site.
Copyright and Trademarks
Copyright: The Content is the exclusive property of Deloitte or, as applicable, its licensors, suppliers and partners, and is protected under the copyright laws of Canada and other countries. All rights are reserved. Any infringement of Deloitte’s rights will result in appropriate legal action.
Trademarks: Deloitte’s trademarks are valuable assets and Deloitte takes infringement of them seriously. All names, marks, brands, titles, slogans, logos, icons, graphics, trade dress or trade names, designs and other designations within the Platform are registered and unregistered trademarks of Deloitte, its licensors, and other parties (“Trademarks“) in Canada and other countries. Nothing contained on the Wonder Site should be construed as granting by implication, estoppel, or otherwise, any license or right to use any Trademark displayed on the Wonder Site without the written permission of Deloitte or the applicable Trademark owner. Misuse of any Trademark or the Content by you is strictly prohibited.
Non-Solicit
During the term of your employment and for a period of two (2) years thereafter, you shall not, without Deloitte’s written consent, directly or indirectly employ, solicit, engage or retain the services of Deloitte personnel. In the event you breach this provision, you will be liable to Deloitte for an amount equal to thirty percent (30%) of the annual base compensation of the relevant personnel in their new position. Although such payment shall be Deloitte’s exclusive means of monetary recovery from you for breach of this provision, Deloitte shall be entitled to seek injunctive or equitable relief.
Confidentiality
The Wonder Site, Content, and Submitted Materials are the confidential information of Deloitte (“Confidential Information”). In addition to any other confidentiality obligations that apply to you in relation to the Wonder Site and the terms of your employment agreement, you agree that you will: (a) treat the Confidential Information with the same degree of care as Deloitte accords to its own confidential information of a similar nature, but not less than reasonable care; (b) use the Confidential Information only in connection with its use of the Wonder Site and for Deloitte’s internal business purposes; and (c) not disclose, publish, distribute, or disseminate the Confidential Information through the public domain or to any third party.
No Warranties
DELOITTE DISCLAIMS ALL WARRANTIES, REPRESENTATIONS AND CONDITIONS REGARDING USE OF THE WONDER SITE OR THE CONTENT, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT, WHETHER EXPRESS OR IMPLIED, OR ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE.
No Liability
DELOITTE IS NOT RESPONSIBLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES WHATSOEVER AND HOWSOEVER CAUSED, ARISING OUT OF OR IN CONNECTION WITH THE USE OR MISUSE OF THE WONDER SITE OR IN RELIANCE ON THE CONTENT, INCLUDING ANY LOSS OF USE, LOST DATA, LOST PROFITS OR ANY OTHER PECUNIARY LOSS, WHETHER IN AN ACTION OF CONTRACT, CIVIL LIABILITY, NEGLIGENCE OR OTHER TORTIOUS ACTION, EVEN IF DELOITTE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES OR SUCH DAMAGES ARE REASONABLY FORESEEABLE.
Indemnity
You hereby agree to indemnify, defend and hold harmless Deloitte, its affiliates, shareholders, officers, directors, employees, consultants, lawyers and agents, from any and all third party claims, liability, damages or costs they incur arising as a result of your misuse of the Wonder Site, your violation of the Terms, or your infringement of any intellectual property rights or other right of Deloitte or any person or entity.
Viruses
Neither Deloitte, nor any of its partners, suppliers of affiliates assume responsibility and will not be liable for any damages to or viruses that may infect your computer equipment or other property as a result of your use of the Wonder Site or your downloading of any of the Content.
Governing Law
By accessing the Wonder Site, you agree that the laws of the Province of Ontario and the federal laws applicable in the Province of Ontario will govern the Terms and apply to any issue that might arise regarding the Wonder Site, and that such dispute will be settled or adjudicated in the superior courts in Toronto, Ontario.
Right to Terminate Access
If you breach any provision of the Terms or otherwise cease being employed by Deloitte or its affiliates, you will no longer access or use the Wonder Site or the Content. Deloitte, in its sole discretion, may terminate your right to use the Wonder Site or the Content at any time, for any reason, without any notice to you and without any liability to you or any other person. If Deloitte terminates your right to use the Wonder Site, the Terms will nevertheless continue to apply and be binding upon you in respect of your use of the Wonder Site prior to the termination of the Terms, any of the Content obtained by you from the Wonder Site, and anything connected with, relating to or arising from those matters.
Severability
If any provision of the Terms is held to be invalid or unenforceable for any reason, the validity or enforceability of the remaining provisions shall not be affected in any way.
Entire Agreement
Except as otherwise set forth in additional terms provided to you by Deloitte (including but not limited to your employment agreement), the Terms constitute the entire agreement between you and Deloitte with respect to the use of the Wonder Site, the Content, and any information obtained through the Wonder Site, including the Submitted Materials.
Changes to Terms
Deloitte may at any time, without notice, revise the Terms, effective when posted, without any liability to you. By continuing to use the Wonder Site, you agree to be bound by such revisions to the Terms and agree to periodically revisit this page to review the current version of the Terms, as modified from time to time. If you do not agree to the Terms, please do not use the Wonder Site. Deloitte will notify you of material changes to the Terms by posting a notice to the Wonder Site homepage stating that the Terms have been updated.
